What is the MSME stamp duty exemption in Uttar Pradesh?

Stamp duty exemption for micro, small and medium enterprises is a benefit under the Uttar Pradesh Micro, Small and Medium Enterprises Promotion Policy 2022, notified by the state government by order dated 28 September 2022. The exemption itself was given legal effect by a separate notification dated 20 March 2023, issued by the MSME Section-2 of the Uttar Pradesh Government using powers under section 9(1)(a) of the Indian Stamp Act 1899, read with section 21 of the General Clauses Act 1897.

The benefit is easy to under-value. Stamp duty on an industrial plot is paid up front, in cash, at the moment an entrepreneur has the least money to spare. A full waiver in Purvanchal or Bundelkhand can free several lakh rupees at exactly the point where that money would otherwise have gone into machinery.

The 20 March 2023 notification gives effect to two parts of the policy: paragraph 5.1.6.2, which covers private developers of MSME industrial parks, and paragraph 5.3.3 with its sub-paragraphs, which covers the enterprises themselves.

Who is eligible for the MSME stamp duty exemption?

You can claim the exemption if:

  • You are setting up a micro, small or medium enterprise in Uttar Pradesh, as defined by the MSMED Act 2006 and its amendments, and you are buying or leasing land for it.
  • You are a private developer acquiring land for an MSME industrial park, estate or flatted factory complex of 10 acres or more in the state. That category gets 100 percent exemption under paragraph 5.1.6.2.
  • You are a woman entrepreneur establishing an enterprise anywhere in Uttar Pradesh, in which case the rate is 100 percent regardless of district.
  • You are willing to furnish a bank guarantee equivalent to the duty exempted.

You cannot apply for the exemption, or are not eligible for it, if:

  • Your unit makes tobacco products, gutkha or pan masala, alcohol, aerated or carbonated drinks, firecrackers, or plastic carry bags below 40 microns. The policy excludes these investment proposals outright, and any other product the state government places in the prohibited category.
  • The land is not being acquired for the industrial purpose set out in the notification's schedule.
  • The instrument has already been executed and registered with full duty paid. The exemption operates on the instrument at the point of registration, not as a refund afterwards.
  • The District Magistrate or General Manager, District Industries has not signed the instrument as witness. The notification makes the exemption allowable only where that officer signs to confirm the facts on the instrument.

How much duty is waived?

Where the enterprise is set up Exemption
Purvanchal and Bundelkhand 100%
Madhyanchal and Paschimanchal, excluding Gautam Buddha Nagar and Ghaziabad 75%
Gautam Buddha Nagar and Ghaziabad districts 50%
Enterprises set up by women entrepreneurs, anywhere in the state 100%
Private developers of MSME industrial parks, estates or flatted factory complexes of 10 acres or more 100%

A woman entrepreneur setting up in Gautam Buddha Nagar therefore gets the full waiver rather than the district's 50 percent, the women's category overrides the regional slab.

What documents are required?

Document Mandatory Notes
Udyam Registration certificate Yes Proves micro, small or medium status
Draft sale, lease or transfer deed Yes The exemption applies to the instrument
Detailed Project Report Yes Shows the industrial purpose of the land
Bank guarantee equal to the duty exempted Yes Required by the 20 March 2023 notification
Proof of women ownership No Only for the 100 percent women's rate
Allotment letter from the industrial authority No Where the plot comes from a state authority
Commercial production certificate No Needed later, to release the bank guarantee

How to apply for the MSME stamp duty exemption

The exemption is claimed around the registration of the deed, not through a separate cash disbursal, so the sequence matters.

  1. Register the enterprise; obtain Udyam Registration and complete your project approvals through the state single window portal, Nivesh Mitra, at niveshmitra.up.nic.in.
  2. Prepare the draft deed for the purchase or lease of the industrial land, and prepare the project report showing the industrial purpose.
  3. Approach the District Magistrate or the General Manager, District Industries of the district where the project is located, before executing the deed. The notification requires that officer to sign the instrument as a witness, confirming that the transfer is being executed under the MSME Promotion Policy 2022 to without that signature the exemption is not allowable.
  4. Furnish the bank guarantee equivalent to the stamp duty exemption being availed, in the prescribed format, to the concerned district authority.
  5. Execute and register the deed at the sub-registrar's office with the reduced duty as per your regional slab.
  6. Start commercial production, then get the District Magistrate or the General Manager, District Industries to confirm it, so the bank guarantee is released.

Applications for the other financial benefits of the same policy, capital subsidy and interest subsidy: go online to the Deputy Commissioner of Industries of the district and are approved by a divisional committee. The stamp duty exemption, by contrast, is executed at the registry.

How to check the status of your exemption

  • The instrument itself is the proof. Once registered with the endorsement and the witness signature of the District Magistrate or General Manager, District Industries, the exemption has been given effect.
  • The bank guarantee is the open item after registration. Track its release with the district authority that holds it, and produce the commercial production confirmation as soon as the unit starts.
  • The District Industries and Enterprise Promotion Centre (DIEPC) of the district holds the project file and is the office to ask about both.

Why an exemption claim fails

  • The deed was registered first. The exemption operates at the point of execution and registration; there is no post-facto refund route in the notification.
  • No witness signature from the District Magistrate or General Manager, District Industries on the instrument. The notification makes this a condition of allowability.
  • No bank guarantee furnished, or a guarantee whose validity does not run at least until the date commercial production commences.
  • Wrong district slab claimed — for instance claiming 100 percent in Ghaziabad where the rate is 50 percent for a non-women unit.
  • Prohibited product line under the policy, such as pan masala, liquor, firecrackers or thin plastic carry bags.
  • Developer below the area threshold. The developer category needs an MSME industrial park, estate or flatted factory complex of 10 acres or more.
  • Production never commences, in which case the bank guarantee is not released and the benefit is effectively reversed.

Key dates

  • 28 September 2022, the Uttar Pradesh MSME Promotion Policy 2022 notified by Government Order. The policy is effective for five years from promulgation, or until a new policy is promulgated.
  • 20 March 2023, the stamp duty exemption notification issued at Lucknow, giving effect to paragraphs 5.1.6.2 and 5.3.3 of the policy. The order notes that it is issued electronically and therefore needs no signature, and that its authenticity can be verified at shasanadesh.up.gov.in.
  • Related government orders on MSME revenue matters and on stamp duty for PLEDGE parks were published by Invest UP in April 2023.

What else the same policy gives an MSME

Stamp duty exemption rarely travels alone. The same 2022 policy offers a new unit:

  • Investment Promotion Assistance. A capital subsidy of 10 to 25 percent of fixed capital investment depending on region and unit size, with an extra 2 percent for SC, ST and women entrepreneurs, capped at Rs 4 crore per unit.
  • Capital interest subsidy for new micro enterprises to 50 percent of interest payable, up to Rs 25 lakh per unit over 5 years, and 60 percent for SC, ST and women entrepreneurs.
  • One Time Guarantee Fee under CGTMSE borne by the state for collateral-free loans of up to Rs 2 crore.
  • 100 percent reimbursement of the employer's EPF share for 5 years from the start of production.
  • Mandi fee waiver for five years for new food processing units with plant and machinery investment of Rs 5 crore or more.

Note that where the same head of benefit is available under more than one state policy, an enterprise may take it under one policy only.

Help and grievance redressal

  • District Magistrate or General Manager / Deputy Commissioner, District Industries and Enterprise Promotion Centre of your district. The officers named in the notification.
  • Directorate of Industries and Enterprise Promotion, Uttar Pradesh at msme.up.gov.in.
  • Nivesh Mitra at niveshmitra.up.nic.in for industrial approvals and its helpdesk.
  • shasanadesh.up.gov.in to verify the text and authenticity of the 20 March 2023 notification before you rely on it at a registry.
  • UP Jansunwai (IGRS) at jansunwai.up.nic.in for a written grievance with an online tracking number.

Frequently asked questions

How much stamp duty exemption does an MSME get in Uttar Pradesh?

An MSME gets 100 percent exemption in Purvanchal and Bundelkhand, 75 percent in Madhyanchal and Paschimanchal excluding Gautam Buddha Nagar and Ghaziabad, and 50 percent in Gautam Buddha Nagar and Ghaziabad districts. Enterprises set up by women entrepreneurs get 100 percent exemption anywhere in the state.

When was the MSME stamp duty exemption notified?

The exemption notification was issued on 20 March 2023 by the Micro, Small and Medium Enterprises Section-2 of the Uttar Pradesh Government, using powers under section 9(1)(a) of the Indian Stamp Act 1899 read with section 21 of the General Clauses Act 1897. It gives effect to paragraphs 5.1.6.2 and 5.3.3 of the MSME Promotion Policy 2022.

Does an MSME have to give a bank guarantee for the stamp duty exemption?

Yes. The notification requires the investor unit to deposit a bank guarantee equivalent to the stamp duty exemption it has availed. The guarantee is released after the unit begins commercial production, which is confirmed by the District Magistrate or the General Manager, District Industries of the district.

Do industrial park developers get stamp duty exemption too?

Yes. Developers of MSME industrial parks, estates or flatted factory complexes of 10 acres or more set up by the private sector in the state get 100 percent exemption of stamp duty on the purchase of land, under paragraph 5.1.6.2 of the policy.

Which instruments are covered by the exemption?

The notification covers transfer instruments under Article 23(a) of Schedule 1-B and lease instruments under Article 35, for the purposes set out in its schedule. Both a sale of industrial land and a lease of an industrial plot to an MSME can therefore qualify.

What happens if the unit never starts production?

The bank guarantee is not released. Its release is conditional on the start of commercial production being confirmed by the District Magistrate or the General Manager, District Industries, so a unit that never begins production effectively repays the exempted duty through the guarantee.

Which businesses cannot claim the MSME stamp duty exemption?

The MSME Promotion Policy 2022 does not apply to tobacco products, gutkha and pan masala, alcohol, aerated and carbonated drinks, firecracker manufacturing, or plastic carry bags below 40 microns, so those units cannot claim any benefit under it including this exemption.

Is a separate online application needed for the stamp duty exemption?

No separate online sanction is issued before registration. The exemption is allowed only if the District Magistrate or the General Manager, District Industries of the district signs the instrument as a witness, confirming that the transfer is being executed under the MSME Promotion Policy 2022.
